B2B conditions for the products that retailers offer in the Manzo catalog via the My Products section. Beef is always the seller towards the end customer; the Proposer and the supplier. You accept them once, in the initial setup, before loading the first product.
These conditions govern the proposal, by a professional reseller (hereinafter the "Proposer"), of products not yet present in the Spare Parts Manzo catalogue, through the "My Products" section of the Customer Area. They apply exclusively to relationships between businesses (B2B) and not to consumers.
By accepting these conditions in the initial setup, the Proposer declares to act in the exercise of his business activity and to have understood their content.
The approved product enters the Manzo catalog according to the normal sales flow: the seller towards the end customer and always and exclusively Manzo Spare Parts. The Proposer assumes the role of supplier and not seller towards the end customer.
The name of the supplier nor any indication of sale by third parties appears on the product sheet: the Proposer's data remains internal and reserved for the staff.
No proposals are published automatically. Each proposed product is created in a "under review" state and becomes visible in the catalog only after explicit approval from the Manzo staff, who verifies its conformity, CE marking, originality and correctness of the data.
The review of a proposal (approval or rejection) usually occurs within 12/24 working hours of receipt. This is an indicative and not peremptory time: in the presence of more complex checks or closure periods, the deadline can be exceeded, without giving the right to any compensation.
Manzo reserves the right, at its sole discretion, to accept, modify, refuse or remove a proposal at any time, even after publication, without this giving the right to any compensation.
The price indicated by the Proposer is the sales price to Manzo, VAT included: and how much the Proposer sells the piece to Manzo, not the public price. The catalog price and price lists are established solely by Manzo during the approval phase.
When a product proposed by the Proposer is sold by Manzo, the preparation of the piece remains the responsibility of the Proposer: and the Proposer finds, checks and packs the item, making it available for delivery with the utmost promptness and in any case within the agreed times.
For each item to be processed, Manzo provides the list of order lines and a printable preparation sheet in the "To be prepared" section of the Customer Area. The Proposer is required to insert this sheet into the package, together with the payment document or invoice, and to mark the line as prepared once processed.
The Proponent guarantees that the quantities and availability declared are effective and, in the event of unavailability, promptly informs Manzo. No end customer data is shared with the Proposer, consistently with the resale model.
The advertisement of a published product has a limited duration and must be renewed periodically by the Proposer, normally every 30 days (deadline set by Manzo). Renewal is done with a click from the "My Products" section of the Customer Area and does not require new approval.
Before the deadline the Proposer receives a notice via email. Once the period without renewal has elapsed, the product automatically goes out of catalog and can no longer be purchased until the Proposer puts it back online. The renewal is an opportunity to confirm that the price, availability and product data are still correct.
Manzo reserves the right to change the duration of the renewal or deactivate it; any different terms are indicated in the Customer Area.
By proposing a product, the Proposer guarantees that:
The Proponent holds Manzo harmless from any third party claims deriving from the untruthfulness of such guarantees.
By publishing the product under its own brand, Manzo assumes the obligations of guarantee, conformity and safety of the product towards the end customer. In the relationship with the Proponent, the guarantee between companies of the civil code (articles 1490-1495 of the civil code) applies, with notification of defects within the legal deadline, unless otherwise agreed in writing.
The protections provided for consumers, such as the 30-day right of withdrawal and the 24-month legal guarantee of conformity, do not apply.
To manage proposals, Manzo collects and uses the Proposer's contact details, including the telephone number indicated in the setup, for the sole purpose of operational communications on price, availability and product details. This data remains confidential to the staff and does not appear publicly.
These conditions are governed by Italian law. For any dispute between Manzo and the Proponent, the Court of Naples has exclusive jurisdiction, unless otherwise agreed in writing between the parties.
